雖然臨時買賣合約已是有法律約束力的合約，但它只有一些基本條款，對雙方（特別是買方）之保障實在有限。正式買賣合約由律師根據早前簽訂的臨時買賣合約去草擬，正式合約會包含更詳盡之條款並用作取代臨時合約。但如雙方未能簽訂正式買賣合約（例如他們未能一致同意正式合約的所有條款），他們仍會受臨時買賣合約約束。
